A business in Hong Kong can be run as a sole proprietorship, a partnership or a limited company. The first two leave their owners personally liable for the business’s debts without limit. For that reason — and because banks, counterparties and investors expect it — we almost always recommend a private limited company. There are two ways to get one.
A shelf company is a brand-new private limited company we have already incorporated and hold ready for a client. It has never traded, has no history and no liabilities; it exists only so that a client can start using a registered company immediately. The name can be changed to one of your choosing afterwards.
Alternatively we incorporate a company from scratch under the name you choose. We check the proposed name against the Companies Registry’s records, confirm it is available and acceptable, and register the company with that name from the outset.

We advise on share capital, shareholder and director requirements and the rest of the incorporation procedure. You give us the basics: the proposed company name, the nature of the business, and the full name, passport or HKID details and address of each shareholder and director.
We confirm the company name is available and that we hold everything the Registry needs. Once the engagement is confirmed and the fee settled, incorporation begins.
We prepare the full set of incorporation documents for your review and send them to you for signature. The original signed documents are returned to us — the Companies Registry requires originals, not copies.
We file the signed documents with the Companies Registry. The company is typically registered within three to five working days of submission, after which you receive the Certificate of Incorporation, the Business Registration Certificate and your company kit.
