Setting up of a Hong Kong company
To set up a business entity in Hong Kong, you can register a Sole Proprietorship, Partnership or Limited Company. Owner(s) of both Sole Proprietor and Partnership are subject to unlimited personal liability, therefore for better protection, we usually recommend incorporating a Limited Company when conducting business transactions.

For incorporating a private limited company in Hong Kong, there are 2 methods:

Method 1. Shelf companies
Shelf companies are companies that have already been incorporated and available for client's purchase. These shelf companies are also new companies and have never been used before -they are incorporated only to allow for immediate use by clients and the company name can be changed later.
Method 2. All-new companies
Alternatively you can incorporate an all-new company from scratch. In this regard client needs to provide the proposed company name and after checking the availability with the Hong Kong Companies Registry's record, an all-new company can be incorporated.

What's the Process?
Step 1:
Advisory & document collection

NGL advises on Share Capital, Shareholder and Director requirements and other aspects of company incorporation procedures. We need to obtain the basic information from you such as proposed company name; details of your company’s nature of business; full name; passport/HKID details; and address of each shareholder and director.

Step 2
Company name & Payment​
​
We make sure that your company name is unique, and we have all necessary information. After receiving the payment, we proceed with the incorporation process.

Step 3
Collection of original signed incorporation document​
​
We prepare all necessary documents for your consideration and signature. We email the documents to you for your signature. You must return original, signed incorporation documents (Hong Kong Companies Registry will not accept copies).

Step 4
Documents Submission to the Company Registry
​
NGL submits your original, signed incorporation documents to the Companies Registry. Companies typically registered within 5-7 working days after submission.
